By using Lence, you agree to these terms. Lence is a platform for verified college students and vetted landlords. Students use Lence free of charge. Landlords pay a flat $250 fee per signed lease attributed to Lence.
By downloading, installing, or using the Lence mobile application or visiting lence.app (collectively, the "Platform"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree to these Terms, do not use the Platform.
These Terms constitute a legally binding agreement between you and Lence Labs LLC, a California limited liability company ("Lence," "we," "us," or "our").

Student accounts are created by verifying a .edu email address via one-time passcode. You are responsible for maintaining the security of your account and for all activity that occurs under your account. You may not share your account with others or create accounts on behalf of others.
Lence reserves the right to verify, suspend, or terminate any account that we believe violates these Terms or misrepresents student or landlord status.

Landlords are onboarded by invitation only following verification and execution of the Lence Landlord Agreement. By submitting a listing, landlords represent and warrant that:
Lence's business model is based on lease attribution. A lease is considered "attributed to Lence" when the following chain of events is documented within the platform:
When an attributed lease is signed, landlords agree to pay Lence Labs LLC a flat fee of $250 per signed lease, invoiced via Stripe within 14 days of lease confirmation. This fee applies regardless of whether the final lease execution occurs on or off the platform, provided the lead originated from Lence.
Landlords who attempt to circumvent attribution — including by directing student groups to contact them off-platform prior to tour confirmation, or by denying attribution for leases that clearly originated through Lence — are in breach of these Terms and the Landlord Agreement.
Lence reserves the right to audit communication records, tour request logs, and group formation timestamps to resolve attribution disputes.
Lence does not own, manage, or guarantee any property listed on the platform. We are a marketplace that connects verified student groups with landlords. Lence is not a party to any lease agreement between students and landlords and accepts no liability for the condition, accuracy, or legality of any listed property.
Students are responsible for conducting their own due diligence before signing any lease. Lence strongly recommends visiting any property in person, reviewing all lease terms carefully, and consulting with appropriate advisors before committing to a housing agreement.
You retain ownership of content you submit to Lence, including profile photos, bio text, and messages. By submitting content, you grant Lence a non-exclusive, royalty-free, worldwide license to use, store, display, and distribute that content solely for the purpose of operating the platform.
You represent that you have all rights necessary to submit any content you post, and that your content does not violate the rights of any third party.
Lence reserves the right to remove any content that violates these Terms or that we determine in our sole discretion to be harmful, offensive, or inappropriate.
You agree not to use Lence to:
Lence may suspend or terminate your account at any time, with or without notice, for any violation of these Terms or for any other reason in our sole discretion. Upon termination, your right to use the platform ceases immediately.

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
LENCE DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED. LENCE DOES NOT ENDORSE ANY USER, LISTING, OR THIRD PARTY CONTENT ON THE PLATFORM.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LENCE LABS LLC AND ITS OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF REVENUE, OR PERSONAL INJURY.
IN NO EVENT SHALL LENCE'S TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU HAVE PAID TO LENCE IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.
You agree to indemnify, defend, and hold harmless Lence Labs LLC and its officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorney's fees) arising from your use of the platform, your violation of these Terms, or your violation of any rights of a third party.
These Terms are governed by the laws of the State of California without regard to its conflict of law principles. Any disputes arising from these Terms or your use of Lence shall be resolved in the state or federal courts located in Sacramento County, California.
Before filing any legal claim, you agree to contact Lence at chalamar@lence.app and attempt to resolve the dispute informally for at least 30 days.
We may update these Terms as Lence evolves. We will notify users of material changes via email or in-app notification at least 7 days before the changes take effect. Continued use of the platform after changes take effect constitutes acceptance of the updated Terms.
